Please read these Terms of Service and End User License Agreement (“Terms”) carefully before using the Genius Catalyst app, Digital Michael, or any other service covered by these Terms. By downloading, accessing, purchasing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you downloaded the Genius Catalyst app from Apple’s App Store, Section 21 (Apple App Store Terms) also applies. If you obtained the app through Google Play, Section 22 (Google Play Terms) also applies. If a platform-specific section conflicts with another provision of these Terms, the platform-specific section controls with respect to your use of the app obtained through that platform.
1. ABOUT US
The Service is operated by Genius Catalyst Inc., a company incorporated in the State of California, United States (“Genius Catalyst,” “we,” “us,” or “our”).

“You” means the individual who accesses or uses the Service.
2. THE SERVICE
The “Service” includes:
- The Genius Catalyst app;
- Digital Michael, an AI-based simulation of Michael Neill;
- Online personal-development programmes, courses, and digital content offered by Genius Catalyst;
- Subscriptions and usage credits offered for Digital Michael or other content; and
- Related Genius Catalyst websites and supported platforms, including Genius Catalyst Cafe, Caffeine for Soul, and Telegram, where applicable.
Specific products or platforms may have additional terms presented at purchase or before use. If those additional terms conflict with these Terms, the more specific terms control for that product, except that mandatory consumer rights and Sections 21 and 22 are not limited.
We may update, modify, suspend, or discontinue all or part of the Service. Where required by law, or where a change materially reduces a paid Service during a prepaid period, we will provide notice and any remedy required by applicable law.
3. ELIGIBILITY
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. By using the Service, you represent that you meet these requirements.
4. LICENSE TO USE THE APP AND SERVICE
Subject to these Terms and the platform-specific rights in Sections 21 and 22, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your own non-commercial purposes.
You may not:
- Copy, reproduce, distribute, publicly display, sell, rent, lease, sublicense, or commercially exploit the Service or its content;
- Reverse engineer, decompile, disassemble, attempt to derive source code from, or modify the app, except to the extent such a restriction is prohibited by applicable law or permitted by an applicable open-source license;
- Circumvent security, access controls, usage limits, or purchase mechanisms;
- Use automated means to scrape, extract, or reproduce content from the Service; or
- Use our content, outputs, trademarks, name, voice, or likeness to train or develop an AI system without our prior written permission.
We and our licensors retain all rights not expressly granted under these Terms.
5. DIGITAL MICHAEL: IMPORTANT AI AND WELLBEING INFORMATION
5.1 What Digital Michael Is
Digital Michael is an AI-generated simulation based on aspects of Michael Neill’s published work, voice, and philosophy. It may produce conversational, human-like responses, but it is not Michael Neill and its responses are generated by artificial intelligence.
AI outputs may be incomplete, inaccurate, inappropriate, or inconsistent. Do not rely on Digital Michael as your sole source of factual information or as a basis for decisions that could materially affect your health, safety, legal rights, finances, employment, or other important interests.
5.2 Educational and Personal-Development Purpose
Digital Michael is provided for general educational and personal-development purposes. It does not provide medical, psychological, psychiatric, legal, financial, or other regulated professional advice. It is not a licensed therapist, counsellor, psychologist, physician, or emergency service, and no professional-client or therapist-client relationship is created by your use of it.
You are responsible for evaluating outputs, exercising your own judgment, and seeking appropriately qualified professional advice when needed. Consult a qualified healthcare professional before making medical or mental-health decisions.
5.3 Emergencies and Crisis Situations
Digital Michael is not designed or suitable as the sole or primary source of support for:
- Suicidal thoughts, intent, or behaviour;
- Self-harm or a risk of harm to another person;
- An acute mental-health crisis or psychiatric emergency; or
- Any situation requiring diagnosis, treatment, medication, or immediate professional intervention.
Digital Michael does not continuously monitor conversations, guarantee that it will identify an emergency, or contact emergency responders on your behalf. If you or another person may be in immediate danger, stop using Digital Michael and contact local emergency services or an appropriately qualified professional immediately.
5.4 Conversations and Personal Information
Do not submit information you do not want processed and stored as described in our Privacy Policy. Digital Michael is not subject to the professional confidentiality duties that apply to a licensed therapist or healthcare provider. Information you submit may be processed by service providers, including AI technology providers, as described in the Privacy Policy and in any consent notice presented before such sharing.
No internet-based system is completely secure. We use safeguards designed to protect information, but we cannot guarantee absolute security.
6. USER ACCOUNTS
You agree to provide accurate and complete account information, keep your credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account to the extent permitted by applicable law.
You may initiate deletion of your account and associated personal data from within the app at Settings > Delete Account. You may also request deletion without reinstalling the app through https://digital.michaelneill.org/account-deletion. Deleting the app from your device does not delete your account. We may retain limited information where required by law, to complete transactions, prevent fraud, protect security, or for another lawful purpose described in our Privacy Policy.
Account deletion does not automatically cancel a subscription billed through Apple or Google Play. Before deleting your account, manage or cancel the subscription through your Apple Account or Google Play subscription settings, as applicable. You must still be offered the option to delete your account even if a subscription remains active.
7. ACCEPTABLE USE
You must use the Service lawfully and in accordance with these Terms. You must not:
- Damage, disable, overburden, disrupt, or interfere with the Service or another person’s use of it;
- Attempt to gain unauthorized access to the Service, accounts, networks, or systems;
- Upload or transmit malware, unlawful material, or content that infringes another person’s rights;
- Harass, threaten, impersonate, defraud, or misrepresent your affiliation with another person or entity;
- Use the Service to facilitate self-harm, harm to others, unlawful discrimination, or illegal conduct;
- Attempt to defeat safety systems or cause the AI to produce unlawful or harmful content; or
- Use the Service in violation of applicable third-party terms.
We may investigate violations and suspend or terminate access where reasonably necessary to protect users, us, third parties, or the Service.
8. PURCHASES AND PAYMENT
Prices, currencies, billing periods, and included features or usage will be shown before purchase. Prices may vary by storefront or country and may include or exclude taxes as disclosed at purchase.
Purchases made through the Apple App Store, including in-app purchases, are processed by Apple and are also governed by the applicable Apple Media Services terms. Apple, not Genius Catalyst, controls the payment method associated with your Apple Account. We do not receive or store your complete payment-card details for Apple-processed purchases.
Purchases made using Google Play’s billing system are processed through Google Play or its payment processor and are also governed by the applicable Google Play terms. The merchant of record may be Google or Genius Catalyst depending on the user’s country or region. We do not receive or store your complete payment-card details for Google Play-processed purchases.
Purchases made directly from us or through another platform are processed under the payment terms and refund rules disclosed for that purchase and by the applicable payment processor (Stripe).
Digital features, content, subscriptions, and usage credits unlocked or consumed in an app distributed through the Apple App Store or Google Play must use the applicable platform billing system unless that platform’s rules or an authorized programme permit another method.
Usage credits have their expiration period clearly stated with the purchased product. You can always check the expiration / renewal in the Genius Catalyst app – in the Profile Menu.
9. AUTO-RENEWABLE SUBSCRIPTIONS
The subscription name, duration, price, billing period, included access, and any trial terms will be displayed before you confirm a purchase.
For subscriptions purchased through Apple:
- Payment is charged to your Apple Account when you confirm the purchase;
- The subscription automatically renews for the period shown at purchase unless you cancel it at least 24 hours before the end of the current subscription period;
- Your Apple Account is charged for renewal within 24 hours before the end of the current period at the price shown for the renewal;
- You can manage or cancel the subscription in your Apple Account subscription settings; and
- Deleting the app or your Genius Catalyst account does not by itself cancel the subscription.
For subscriptions purchased through Google Play:
- Payment is charged through the payment method associated with your Google Play account when you confirm the purchase;
- The subscription automatically renews for the billing period shown at purchase until cancelled;
- You can manage or cancel the subscription through the Google Play Subscription Center at https://play.google.com/store/account/subscriptions;
- Cancellation normally takes effect at the end of the current billing period, although immediate cancellation or a prorated refund may be available where required by applicable law; and
- Deleting the app or your Genius Catalyst account does not by itself cancel the subscription.
You will retain access until the end of the paid subscription period unless access is terminated for serious misuse where permitted by law. A cancellation stops future renewal charges but does not by itself generate a refund for the current period.
The applicable store manages subscription renewals and any platform-required price-change notice or consent process for store-billed subscriptions. We will not treat continued use as consent where affirmative consent is required.
10. REFUNDS
Refund requests for purchases made through Apple, including subscriptions and in-app purchases, must be submitted to Apple and are decided by Apple under its policies and applicable law. You can request a refund at https://reportaproblem.apple.com/.
For purchases made through Google Play, Google may issue refunds under the Google Play refund policy. Within the period shown by Google, you may request a refund through Google Play. Google may direct you to Genius Catalyst after that period, and we may process refunds through Google Play in accordance with our refund policy and applicable law. Information is available at https://support.google.com/googleplay/workflow/9813244.
For purchases made directly from Genius Catalyst, the refund terms displayed on the applicable product page at the time of purchase apply, subject always to mandatory consumer rights. Unless different terms are displayed at purchase, our standard direct-purchase terms are:
- Self-study programmes: refund requests may be made within 30 days after purchase;
- Memberships: refund requests may be made within 7 days after the initial payment or a renewal payment;
- Live programmes: refund requests may be made until 30 days before the programme start date; and
- Digital Michael subscriptions or usage credits: non-refundable once access or credits have been supplied, except where applicable law requires otherwise.
Nothing in this section limits a statutory right to cancel, obtain a refund, or receive another remedy.
11. INTELLECTUAL PROPERTY
The app and Service, including their software, text, audio, video, images, course materials, designs, trademarks, and Digital Michael elements, are owned by Genius Catalyst or its licensors and protected by intellectual-property laws.
These Terms do not grant you any right to use Michael Neill’s name, voice, image, or likeness, or the Genius Catalyst, Caffeine for the Soul, Supercoach, or Digital Michael names, voice, images or marks, except as necessary for your permitted personal use of the Service.
12. PRIVACY
Our Privacy Policy explains what personal data we collect, how we collect and use it, the parties with whom we share it (including AI service providers, if applicable), how long we retain it, and how you may withdraw consent or request deletion. It is available at https://geniuscatalystcafe.com/privacy-policy/.
Where required, we will request explicit permission before transmitting personal data to a third-party AI provider. Your use of the Service is also subject to the Privacy Policy, but these Terms do not replace any prominent disclosure or consent that applicable law, Apple, or Google Play requires us to provide separately.
13. THIRD-PARTY SERVICES
The Service may link to or interoperate with third-party services, such as Apple, Google Play, Telegram, payment processors, hosting providers, or AI technology providers. Your use of a third-party service may be subject to that provider’s terms. We are not responsible for a third-party service except to the extent required by applicable law.
You must comply with all applicable third-party agreements when using the app, including your wireless-data agreement and the applicable Apple Media Services Terms and Conditions or Google Play Terms of Service.
14. MAINTENANCE AND SUPPORT
Genius Catalyst is responsible for maintenance and support for the app and Service as described in these Terms or required by applicable law. Support requests should be sent to the contact details in Section 1.
We do not guarantee that every feature will always be available or that the Service will be uninterrupted or error-free. This does not limit any maintenance, support, or remedy that applicable law requires.
15. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available.” Genius Catalyst disclaims implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement to the extent those warranties may lawfully be disclaimed.
We do not warrant that the Service or AI output will always be accurate, available, secure, uninterrupted, error-free, or free of harmful components. Statements in these Terms do not exclude warranties, guarantees, or consumer remedies that cannot lawfully be excluded.
16. PRODUCT AND INTELLECTUAL-PROPERTY CLAIMS
Genius Catalyst, not Apple or Google, is responsible for addressing claims relating to the app or your possession or use of it, including product-liability claims, claims that the app does not comply with a legal or regulatory requirement, and claims under consumer-protection, privacy, or similar laws.
If a third party claims that the app or your possession or use of it infringes that party’s intellectual-property rights, Genius Catalyst, not Apple or Google, is solely responsible for investigating, defending, settling, and discharging the claim.
17. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Genius Catalyst and its officers, directors, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Service.
To the maximum extent permitted by applicable law, our total aggregate liability for claims arising from or relating to the Service will not exceed the greater of the amount you paid for the Service during the 12 months before the event giving rise to the claim.
These limitations do not apply to liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation; death or personal injury caused by negligence where applicable law prohibits limitation; willful misconduct or gross negligence where applicable law prohibits limitation; or your mandatory consumer rights. Some jurisdictions do not permit certain exclusions or limitations, so some of this section may not apply to you.
18. TERMINATION
You may stop using the Service at any time. We may suspend or terminate access if you materially or repeatedly violate these Terms, if necessary to protect the Service or its users, if required by law, or if we discontinue the Service. Where reasonable and legally required, we will give notice and an opportunity to remedy the issue.
On termination, the license granted to you ends, but provisions that by their nature should survive will remain in effect, including provisions concerning ownership, disclaimers, liability, disputes, and Apple’s or Google’s third-party-beneficiary rights. Termination does not eliminate rights or obligations accrued before termination and does not limit mandatory refund or consumer rights.
19. GOVERNING LAW, DISPUTES, AND GENERAL TERMS
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except to the extent the mandatory laws of your place of residence apply.
Before filing a claim, you and Genius Catalyst agree to make a reasonable good-faith effort to resolve it informally by written notice. This does not prevent either party from seeking urgent relief, filing a claim in small-claims court where eligible, or exercising a right that cannot lawfully be restricted.
If you are a consumer, nothing in these Terms deprives you of mandatory protections or the right to bring proceedings in a court available to you under the law of your place of residence. Otherwise, to the extent permitted by law, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction.
If any provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remainder will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization, sale of assets, or by operation of law, subject to applicable consumer law.
These Terms, the Privacy Policy, and any product-specific terms presented to you form the entire agreement concerning the Service and replace prior agreements on the same subject.
20. CHANGES TO THESE TERMS
We may update these Terms to reflect changes to the Service, law, security, or our business practices. If a change is material, we will provide reasonable advance notice through the Service, by email, or by another appropriate method where required. The updated Terms will state their effective date.
Changes will apply prospectively. Where applicable law requires your consent, we will request it. If you do not accept a material change, you may stop using the Service and cancel future subscription renewals before the change takes effect, subject to any rights or remedies available under applicable law.
21. APPLE APP STORE TERMS
This section applies when you obtain the Genius Catalyst app through Apple’s App Store.
21.1 Acknowledgement
These Terms are between you and Genius Catalyst only, not Apple. Genius Catalyst, not Apple, is solely responsible for the app and its content. These Terms do not create usage rules that conflict with the Apple Media Services Terms and Conditions or applicable Volume Content Terms.
21.2 Scope of License
The license granted to you for the app is limited to a non-transferable license to use the app on Apple-branded products that you own or control and as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. The app may also be accessed and used by other accounts associated with the purchaser through Family Sharing, volume purchasing, or Legacy Contacts where applicable.
21.3 Maintenance and Support
Genius Catalyst, not Apple, is solely responsible for providing maintenance and support for the app as specified in these Terms or required by applicable law. You and Genius Catalyst acknowledge that Apple has no obligation to provide maintenance or support for the app.
21.4 Warranty
Genius Catalyst is solely responsible for any product warranties, whether expressed or implied by law, to the extent not effectively disclaimed. If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, paid to Apple for the app. To the maximum extent permitted by law, Apple has no other warranty obligation regarding the app. Genius Catalyst is responsible for any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty.
21.5 Product Claims
Genius Catalyst, not Apple, is responsible for addressing claims by you or a third party relating to the app or your possession or use of it, including product-liability claims; claims that the app fails to comply with an applicable legal or regulatory requirement; and claims under consumer-protection, privacy, or similar laws.
21.6 Intellectual-Property Claims
If a third party claims that the app or your possession or use of it infringes that party’s intellectual-property rights, Genius Catalyst, not Apple, is solely responsible for investigating, defending, settling, and discharging the claim.
21.7 Legal Compliance
You represent and warrant that (a) you are not located in a country or region subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country or region and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

21.9 Third-Party Terms
You must comply with applicable third-party agreements when using the app, including the applicable wireless-data-service agreement and Apple Media Services Terms and Conditions.
21.10 Apple as Third-Party Beneficiary
You and Genius Catalyst acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms. When you accept these Terms, Apple will have the right, and will be deemed to have accepted the right, to enforce these Terms against you as a third-party beneficiary.
22. GOOGLE PLAY TERMS
This section applies when you obtain the Genius Catalyst app through Google Play.
22.1 Relationship with Google
These Terms are between you and Genius Catalyst, not Google. Genius Catalyst, not Google, is responsible for the app, its content, maintenance, support, and claims relating to it. Google is not responsible for these Terms and does not assume liability under them. Your use of Google Play remains subject to the applicable Google Play Terms of Service.
22.2 Google Play License
Notwithstanding Section 4, and to the extent required by the Google Play Developer Distribution Agreement, Genius Catalyst grants you a non-exclusive, worldwide, and perpetual license to perform, display, and use the app obtained through Google Play. This includes the rights Google requires concerning changing the colour of the app’s icons, adding themes to those icons, and use by a Google Play family group where Google Play permits family sharing. In-app products and subscriptions may not be eligible for family sharing.
Google Play users may reinstall an app distributed through Google Play without an additional fee, subject to Google Play’s rules and any removal required for legal reasons.
22.3 Priority of Google Play Terms
Genius Catalyst may provide this EULA to govern your rights in the app. If these Terms conflict with the applicable Google Play Developer Distribution Agreement concerning rights Google requires us to grant you, the Google Play Developer Distribution Agreement controls to the extent of that conflict.
22.4 Payments, Subscriptions, and Refunds
Google Play-billed purchases and subscriptions are governed by Sections 8 through 10 and the applicable Google Play terms and policies. Google may process or authorize refunds under its policies. Genius Catalyst remains responsible for customer support and for refunds it is required to provide under its disclosed policy or applicable law.
22.5 Support
Questions, complaints, or claims about the app should be directed to Genius Catalyst using the contact information in Section 1. Google is not responsible for maintaining or supporting the app.
